Terms and Conditions
Dancing by your side – Acosta Dance Centre (ADC)

Please note that this document serves as a comprehensive set of Terms and Conditions for the Dancing by your side membership programme offered by the Acosta Dance Centre (ADC). It is essential to understand that this agreement is NOT a letting agreement, and ADC/ADF does not let studios to third parties. Only members who abide by the ADC’s terms and conditions and this membership agreement are allowed to use the ADC/ADF facilities solely under this agreement.

1. The Studios

The studios are exclusively available for members of the Acosta Dance Centre who work under the Centre’s terms and conditions and this membership agreement. The free use of studios for members and partners is limited to nineteen (19) hours per calendar year from the date of membership purchase. Studios are available for daily use between 09:00 and 21:00. Any use outside these hours will incur extra overtime rates unless previously agreed upon in writing by the Acosta Dance Centre. Please note that the booked time is the access time. If a freelancer wishes to gain access to the Studio/s earlier, the Studio must be booked accordingly. Similarly, the time the freelance leaves the Studio (not wrap time) is applicable when calculating any overtime charges.

2. Booking Policy

Our Studio/s operates on a first-come, first-served basis for booking times. This means that the first person to book a time slot for the Studio/s will have priority, followed by subsequent bookings. This policy ensures fairness and equal opportunities for everyone to use the space. It also helps us manage our bookings efficiently. Therefore, we encourage you to book your time slot as early as possible to secure the desired time.

3. Booking Procedures

The Studio/s can be provisionally booked by telephone or email (“pencilled”), subject to availability. All additional studio usage beyond the allotted free hours must be confirmed & scheduled in advance. This helps us ensure availability is managed correctly and reserved for your convenience. The ADC kindly requests that any extended studio booking negotiations be finalized before the start of the additional time requested. These bookings must also be charged in advance unless otherwise agreed upon in writing. Any requests for extra equipment hire must be paid in full seven days after the booking unless otherwise agreed upon in writing with the ADC.

4. Cancellation Policy

If the Customer wishes to postpone or cancel a confirmed booking, it must be done at least ten (10) days before the booking period begins to retain the free hour’s allowance. Cancellations made less than ten days prior to the first booking date will be considered late cancellations, and the hours booked will be lost. The following cancellation fees will apply for any payments made on bookings:

  • Between six and five working days prior to the first booked date: 10% cancellation fee
  • Between four and three working days prior to the first booked date: 25% cancellation fee
  • Two working days prior to the first booked date: 50% cancellation fee
  • One working day prior to the shoot: 75% cancellation fee
  • On the day prior to the first booked date: 100% cancellation fee (no refund of the entire booking period)

5. Studio Usage and Regulations for Members

Members of the ADC must ensure compliance with all regulations governing the use of the Studio, including any imposed by the ADC, Woolwich Works, or any statutory body or Local Authority. The Studios are exclusively available for the named Member in the booking, and sub-contracting, sub-letting, or permitting any third party to utilize the Studio without prior written consent from ADC and Woolwich Works is strictly prohibited. Any materials used in connection with sets constructed by the Customer must be removed from the Studio at the end of the rehearsal period at the Customer’s expense. Failure to comply may result in additional charges.

6. Studio Maintenance and Responsibility

embers of the ADC are responsible for obtaining parents’ or guardians’ permission for any persons under the age of 18 to be at the Studio during the rehearsal period. The ADC is not responsible for any minors working under or in collaboration with the ADC Member. Any liquid spillages must be cleaned immediately, and any risk of staining should be reported. A cleaning charge will be levied for spills requiring professional cleaning or replacement of the dance floor. It is strictly forbidden to bring paint or corrosive liquids into the Studio. The Member is responsible for protecting the floor at all times, and any damage or cleaning resulting from the use of such substances will be the Customer’s responsibility, with reasonable cleaning or repair charges applied.

7. Overtime/Extensions & Participation fees

Planned overtime and the hour’s allowance extras from the ones the membership allows (19 hrs) should be booked before the rehearsal day. This is charged at the stated participation fee or overtime rate for members and partners of the ADC only. If not booked in advance and subject to studio availability, 45 minutes will be given to all members at the standard participation fee (£29 per hour) at the end of the booked studio time. After 45 minutes over the booked time, the participation fee rate will increase to £48 per hour. Bookings may only be extended with the prior consent of the ADC, and published overtime or participation rates will apply to Member’s use of the studios that run over the originally booked time. Members must ensure that any setup and get-out time (if needed) takes place within the hours booked. All members acknowledge that participation fees incurred are intended as a donation/gift to support the organization and its activities. It is expressly understood that no monetary exchange or cash payment shall be permitted to use studios beyond the allocated time. Paying participation fees is solely regarded as a contribution, and it does not establish a commercial studio rental arrangement between the Member and the Acosta Dance Centre or the Acosta Dance Foundation.

8. Hire of Services and Equipment

All equipment and services provided by the ADC are entirely at the Customer’s risk. The ADC shall not be liable for any loss or damage, including consequential loss and loss of profit, to materials, props, or equipment entrusted to it, regardless of the cause. The Customer must notify the ADC if the condition of any equipment is not acceptable at the time of supply. The ADC shall not be liable for any loss or damage arising from the use or inability to use the equipment supplied unless directly caused by ADC’s negligence. The Customer may not remove the equipment from the Studio premises, modify or alter it, use it in a manner not recommended by the manufacturer, allow untrained or unauthorized personnel to use it, or create any liens or encumbrances on the equipment without written consent from ADC.

9. Assistants, Sub-contractors, and Liability

If the ADC supplies assistants, sub-contractors, freelancers, or other personnel at the Customer’s request, they shall be considered the Customer’s servants, and the Customer shall be liable for any loss or damage caused by them. The ADC shall not be responsible for any loss or damage arising from any statement, advice, instruction, or representation given by its servants or other personnel. The period for services or equipment cannot be extended without the ADC’s consent. Equipment must be promptly returned in good condition. The Customer shall pay or compensate the ADC for the replacement value of lost or damaged equipment and any cancellations, variations, or late returns.

10. Payment and Additional Charges

Please note all memberships are NOT REFUNDABLE. Unless otherwise agreed upon in writing, all transactions must be settled with the ADC before the rehearsal period begins, except for overtime participation fee charges at later stages. Prices may be subject to variation without notice. Overtime fees start when the Studio and Equipment are made available to the Customer, whichever is earlier, and end when the Studio and/or Equipment is surrendered or returned to the ADC or the agreed rehearsal period ends, whichever is later. Any additional equipment, services, staff, or modifications to the Confirmation of Booking will be billed to and paid for by the Customer. If the Studio or any Equipment is delivered to or returned to the ADC in a bad or damaged condition, the ADC may charge an additional fee at its discretion. Security deposits may be required for equipment hires, and such deposits shall be paid by the Customer when the booking is made. The ADC retains a general lien on any film, media, equipment, or property in its possession or on the Studio premises to pay any outstanding monies due from the Customer.When considering our membership options, it’s essential to understand that we offer two choices: yearly and monthly subscriptions. If you decide to select the monthly membership, please take into account that this commitment extends for the full year. This stipulation arises from the nature of the benefits associated with the membership, which are valid over a yearly duration rather than on a month-by-month basis. In practical terms, by opting for the monthly membership, you are agreeing to a year-long membership commitment at the prevailing monthly rate.

By becoming a member of Dancing by Your Side, you hereby agree to commit to a full year of membership, irrespective of your selected payment option (yearly or monthly). Your membership will be automatically renewed and charged annually or monthly, as per your chosen payment method, unless cancelled in advance. If you opt for monthly payments, please be aware that you are still committing to a full year of monthly payments. Should you decide to terminate your membership before the conclusion of the year, it’s important to note that all accrued benefits, inclusive of access to our studio facilities during designated hours, will be subject to the terms outlined in our cancellation policy.

11. Exclusions of Liability

The ADC shall not be liable to the Customer for any loss, damage, expense, or liability, including consequential loss (such as loss of profit), arising from a. Any damage to or loss of property caused by the Customer, its servants, agents, or any third party. b. Breakdown, stoppage, or failure of the facilities, Equipment provided in the Studio, or any other Equipment supplied to the Customer. c. Death or injury to any Customer, servant, or agent of the Customer caused by the use of the Studio or any Equipment, except when such death or injury is directly attributable to the negligence of the ADC or its employees. d. Fines and/or legal costs incurred by the ADC or the Customer related to using the Studio or Equipment. e. Failure on the part of the ADC to comply with its obligations to the Customer due to circumstances beyond its control.

12. Indemnity

The Member shall indemnify and hold the ADC harmless against all actions, proceedings, costs, charges, claims, expenses, and demands made or brought by any third party in respect of any alleged injury, loss, damage, or expense arising from the use of the Studio, Equipment, or services supplied by the ADC. This indemnity applies even if such injury, loss, damage, or expense is caused in whole or in part by the negligence or breach of contract of the ADC, its directors, servants, or agents, except in cases of death or personal injury caused by the negligence of the ADC.

13. Termination

The ADC may terminate any active Membership or contract with the Customer and any Membership relationship if: a. The Customer fails to pay any monies due or dishonours any payment to the ADC. b. The Customer enters into liquidation (except for amalgamation or reconstruction), has a Receiver appointed, or is declared bankrupt. c. The Customer breaches any terms of these Conditions. Termination shall not prejudice any rights accrued to the ADC prior to the termination date.

14. Applicable Law

These Conditions shall be read and construed in accordance with the laws of England, Scotland, Wales, and Northern Ireland.

Variation These Terms and Conditions shall not be varied except by written agreement.

Terms and Conditions for the “ADC Inner Circle” Membership Programme

Welcome to the Acosta Dance Centre’s “inner circle” membership programme. By becoming a member, you agree to comply with the following terms and conditions:

1. Membership Eligibility

The “ADC inner circle” membership is open to all dance enthusiasts and individuals interested in the services the Acosta Dance Centre (ADC) provides.

2. Membership Benefits

As an “inner circle” member, you will enjoy the following benefits:

a. One (1) Free class for you to try.
b. 20% discount on all regular classes (drop-in) you attend at ADC (excluding workshops).
c. 10% discount on all ADC merchandise.
d. Access to a personalized member’s newsletter containing the latest information and updates from the ADC.
e. 5% discount on all ADC and ADF (Acosta Dance Foundation) workshops and events.

3. Membership Fee

The “inner circle” membership requires a monthly fee of £15. This fee is non-refundable and must be paid in advance to maintain active membership status.

4. Discount Exclusions

Please note that the 20% discount on classes does not apply to workshops, and other specific exclusions may apply. ADC reserves the right to modify discount exclusions without prior notice.

5. Membership Duration and Renewal

The “inner cirlce” membership is valid for one month/year from the date of enrollment. Membership will automatically renew each month/year, and the membership fee will be charged accordingly. Members can cancel their membership at any time before the next billing cycle to avoid further charges.

6. Membership Termination

ADC reserves the right to terminate or suspend a member’s “inner circle” membership at its discretion, with or without cause. If membership termination is due to a violation of these terms and conditions, no refunds will be provided.

7. Use of Discounts and Offers

Members are solely responsible for ensuring they avail themselves of the appropriate discounts and offers. ADC will not be liable for any discounts or offers not applied due to member error.

8. Intellectual Property

All materials, including but not limited to content, logos, and trademarks, provided to members under this programme remain the property of Acosta Dance Centre and may not be reproduced or distributed without written consent.

9. Modifications to the Programme

ADC reserves the right to modify or discontinue the “inner circle” membership programme, its benefits, and terms and conditions at any time. Members will be notified of any substantial changes to the programme.
